No suit, prosecution or other legal proceedings shall lie against the Central Registrar or, any person subordinate to him or acting on authority or against any other person, in respect of anything in good faith done or purporting to have been done under the Multi state cooperative societies Act, 2002.scheme for the reconstitution or reorganization, including proposal raga formation of new multi state co-operative society and on transfer of which part of the assets and liability of that society to any other multi state operative society in existence immediately before the date of the meeting general body and if resolution is passed by a majority of the members in the said general body meeting approving such scheme either with or modification to which the Central Registrar or authorized officer agree" Central Registrar shall certify the scheme and as such the scheme shad binding on all the societies affected by the scheme, as well as the share and creditors of such society provided the scheme is not contrary to an regulation or bye-laws in force. It further provides that if the scheme sanctioned as proposed the Central Registrar or the authorized officer refer the scheme to High Court Judge nominated by the Chief Justice b behalf and the decision of that judge of High Court in regard to the society shall be binding on all the societies affected by the scheme as well as shareholders and creditors of all such societies. But the scheme shall nr binding on such cooperative society or shareholders and creed where scheme includes any proposal regarding the transfer of. The assets liabilities referred to in clause (b) unless such proposal of transfer is that multi-state co-operative society by a resolution passed by the main of the members present at Interim Board and General Meeting for the First Election.
